Each option in plain words
Proprietorship
The simplest start. You and the business are legally one.
- Almost no compliance
- Cheap and quick
- Your personal assets back any debt
LLP
Partners share profit with limited personal liability.
- Flexible internal rules
- Less compliance than a company
- Harder to attract equity investors
Private Limited
A separate company owned through shares.
- Preferred by investors
- Easy to add or exit shareholders
- More paperwork and audit needed
How registration works
Private Limited Company:
- Get digital signatures (DSC) for the directors.
- Choose a unique name and check it is available on the MCA portal.
- File the incorporation form with the Memorandum and Articles of Association.
- Receive the Certificate of Incorporation. PAN and TAN are usually issued with it.
- Open a current account and register for GST or Udyam if you need them.
LLP: the steps are similar. You obtain DSCs and director identification numbers, reserve a name, file the LLP incorporation form and then sign and file the LLP agreement within the time limit. Proprietorship: there is no incorporation. You open a current account in the business name and take the registrations your work needs, such as GST and Udyam (MSME).
Frequently asked questions
Can I start as a proprietorship and convert later?
Yes. Many businesses start as proprietorships and move to an LLP or Private Limited company once they grow or need funding. Conversion involves some paperwork, so plan for it.
Is a Private Limited company necessary for a startup?
Not always. If you are self-funded and working alone, a proprietorship or LLP can be enough. It becomes important when you plan to raise equity from investors.
Do I need GST registration after registering my company?
Not automatically. GST depends on your turnover and the type of supply. See our guide on GST registration.
Can the same person be director and shareholder?
Yes, in a private limited company the same people can be both.
